Notwithstanding anything to the contrary contained in this document, Accenture LLP is submitting this document subject to the express condition that Accenture and X COMPANY are able to reach terms and conditions that are mutually acceptable to both Accenture and X COMPANY.  This document is not a contract and will not become a contract in the event of award to Accenture.  If Accenture is awarded any of the work described in the proposal, it will promptly commence good-faith negotiations with X COMPANY for a contract covering such work.
